Let's say your main American site is xxx.com

Thanks. That would be the ideal situation. Unfortunately the restrictions on the .com.au for non-Australian companies means we have to use our .com

To answer your original question, though, a subdirectory is by far better than a subdomain. A subdomain is seen as a "separate site", although it does inherit some of the domain value.
The subdirectory is preferred because it's on the main domain and gets the full value.
