all experts
how could one find good or bad sites. what parameters to be considered to take a partner site means link exchange. Which is most important content or PR.? what are the best ways to find a good sites quickly/

That all depends on what you expect to gain from the link exchange relationship. If you want PageRank to be passed to your site then you would look for pages with a PR of 4 or better that have few links on them because the more links the page has, the more diluted the PR that is passed. If you are looking to gain traffic however, then you look for a site that is related to yours in some way. The PR of the page is not important at that point.
That being said, the best thing you can do is to build a great informative site and then there will be opportunity that other sites will simply link to you naturally on their own because you have a great resource to offer.

For your kind support. But i am talking about some bad sites if i go for link with them my sites may be banned. So how could i find bad sites. Can you tell me some tips?

Select all the text on a page, that way you can see if the page has hidden text.
Make sure the site doesn't put your link on a non-search engine friendly (make sure it's indexed and that the links are plain html [you can check this by right clicking a link and pullin up the properties]).
Check to see that the google cached version of the page is the same as the one displayed.
Don't link to sites that use a keyword too many times (keyword spam can be penalized). A good way to determine keyword spam is to read the content of the site and the meta tags. If the reading sound un-natural due to a heavy use of a keyword, thats keyword spam.
There are other ways a site can be spamming the SEs. I can't think of anything else right now, if I do, I'll post it here.
